1. Introduction
These Terms of Service ("Terms") govern your access to and use of SudoTrials, including any content, functionality, and services offered through our platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
2. Definitions
- User, you, your — the individual or entity accessing or using the Service.
- Membership — the purchased right to access and use the Service under your selected plan.
- Content — any text, images, or other material available on or through the Service.
- User Content — Content that users submit, upload, or transmit to or through the Service.
3. Acceptance of Terms
By accessing or using the Service, you agree to these Terms and our Privacy Policy, which is incorporated by reference. If you're using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you don't agree, you may not use the Service.
4. Changes to These Terms
We may modify these Terms at any time. We'll give notice of significant changes through the Service or by email. Continuing to use the Service after a change takes effect means you accept the revised Terms; if you don't agree, you must stop using the Service.
5. Eligibility
You must be at least 18, or the age of legal majority in your jurisdiction, to use the Service. If you're using it on behalf of an organization, you represent that the organization agrees to be bound by these Terms.
6. Membership, Billing & Subscriptions
Access to paid features requires a Membership, billed monthly or annually as selected at signup, through our payment processor, Stripe. Unless stated otherwise at purchase:
- Your Membership renews automatically at the end of each billing period unless you cancel before the renewal date.
- You authorize us to charge your payment method at the start of each billing period.
- Upgrading charges the prorated difference immediately; downgrading takes effect at the start of the next billing period.
We may change our prices with notice, given before the change takes effect. Continued use of the Service after a price change takes effect means you accept the new price.
You may cancel anytime in your account settings or by emailing contact@sudotrials.com. You keep access through the end of your current billing period; fees already paid are non-refundable except as this section or applicable law requires. If a renewal charge fails, we'll try to notify you and may retry the charge for a reasonable period (up to 14 days) before suspending access; you remain responsible for any uncollected amount. Subscription fees don't include applicable taxes (sales tax, VAT, GST, etc.), which we'll collect and remit where required by law.
7. Free Trials
We may offer free trials at our discretion, which may be limited to new or otherwise qualifying users, and may be modified or ended at any time. Unless you cancel first, we'll automatically charge your payment method for the first billing period once the trial ends.
8. User Accounts
You're responsible for providing accurate account information, keeping your password confidential, everything that happens under your account, and telling us right away about any unauthorized use. We may suspend or terminate an account we believe violates these Terms or poses a risk to the Service or other users.
9. Access to Membership Content
Your Membership grants a limited, non-exclusive, non-transferable license to access the Service for your own personal or internal business use. You may not share your account credentials or let others access the Service through your account. We may modify, update, or remove Service content at any time, without guaranteeing any content stays available indefinitely.
10. User Content
If the Service lets you submit User Content (comments, reviews, etc.), you keep ownership of it, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and display it as needed to operate the Service. You represent that you have the rights to grant this license and that your User Content doesn't violate anyone else's rights or the law. We may remove User Content at our discretion.
11. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose, or violate any applicable law
- Infringe anyone's rights, including intellectual property rights
- Attempt to breach the Service's security or authentication
- Transmit viruses, malware, or other harmful code
- Interfere with or disrupt the Service or its infrastructure
- Collect or harvest information from the Service, including other users' accounts or content
- Impersonate any person or entity, or misrepresent your affiliation with one
- Use automated scripts to scrape or interact with the Service outside our API (§14)
- Share your account credentials or resell access to the Service
12. Intellectual Property
The Service and its content (excluding User Content) — including our software, text, graphics, logos, and data compilations — are the property of SudoTrials or our licensors, protected under Canadian and international copyright, trademark, and other intellectual property law. Our trademarks and trade dress may not be used without our prior written consent.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal or internal business purposes. This license doesn't cover resale, commercial redistribution, derivative use of the Service or its content, or data mining/scraping tools.
If you believe content on the Service infringes your copyright, email contact@sudotrials.com with: identification of the copyrighted work and the allegedly infringing material; your contact information; a statement that you have a good-faith belief the use isn't authorized; and a statement, under penalty of perjury, that you're authorized to act for the copyright owner. We'll respond to valid notices and may remove or disable access to material claimed to be infringing.
13. Data Security and Privacy
We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to that processing.
13.1 Data processing (customers acting as Data Controller)
Where we process personal data on your behalf as part of the Service, you are the Data Controller and we are the Data Processor, as those terms are defined under applicable data protection law. We will: process personal data only on your documented instructions; ensure anyone we authorize to process it is bound to confidentiality; use appropriate technical and organizational security measures; assist you in responding to data-subject requests and meeting your own breach-notification and impact-assessment obligations; and, at your choice, delete or return personal data once we're done providing the relevant service.
We may engage subprocessors to help provide the Service, each held to data-protection terms at least as protective as these. We'll provide our current subprocessor list on request. If we transfer personal data outside Canada or the EEA, we'll use an appropriate safeguard — an adequacy decision, standard contractual clauses, binding corporate rules, or another valid transfer mechanism. We'll notify you without undue delay of any personal data breach affecting data we process for you, including its nature, likely consequences, and the steps we're taking in response.
14. API Usage
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our API to integrate with and support your use of the Service. If you're issued API credentials (such as an API key), you must keep them secure and confidential, not share them without our written consent, and notify us immediately of any suspected breach — you're responsible for all activity under your credentials. API usage may be subject to rate limits or volume caps based on your plan; we may monitor usage for compliance, security, and improvement of the Service, and may suspend or terminate API access for violations of these Terms. We may modify or discontinue any part of the API, with reasonable advance notice for material changes where practical.
15. Accessibility
We aim to make the Service accessible to all users, including people with disabilities, and strive to conform to WCAG 2.1 Level AA and applicable accessibility law. If you have trouble accessing any part of the Service, or suggestions for improving it, email contact@sudotrials.com — we welcome the feedback.
16. Third-Party Links and Services
The Service may link to third-party sites we don't own or control. We have no responsibility for their content, privacy practices, or terms, and aren't liable for any damage or loss connected to your use of them.
17. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant the Service will be uninterrupted, error-free, or secure, or that it will meet your specific requirements.
18. Limitation of Liability
To the maximum extent permitted by law, SudoTrials will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
19. Indemnification
You agree to indemnify, defend, and hold harmless SudoTrials and our officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable legal fees) arising from your violation of these Terms, your User Content, or your use of the Service.
20. Governing Law & Dispute Resolution
These Terms are governed by the laws of Canada, without regard to conflict-of-laws rules. Any dispute arising from these Terms will be resolved through arbitration under Canadian arbitration rules.
21. Entire Agreement; Waiver & Severability
These Terms, together with our Privacy Policy and any agreements they reference, are the entire agreement between you and SudoTrials regarding the Service, and supersede any prior agreement on the same subject. Our failure to enforce any part of these Terms isn't a waiver of it. If any provision is found unenforceable, the rest remains in effect.
22. Assignment
You may not transfer or assign these Terms, or any rights or licenses granted under them, without our prior written consent. We may assign these Terms without restriction.
23. Termination
We may suspend or terminate your access to the Service at our discretion, with or without notice, for conduct we believe violates these Terms or is harmful to us, other users, or third parties, or for any other reason. Your right to use the Service ends immediately on termination.
